1. What is RUPD?

RUPD (Rapat Umum Pemberi Dana or General Meeting of Fund Providers) is a formal collective mechanism organized by KoinP2P to obtain a decision from Lenders regarding risk mitigation, restructuring, or resolution steps for loans experiencing payment delays or specific conditions. It is mandated by OJK Regulation No. 40/2024 (POJK 40/2024).

2. Why is RUPD important for Lenders?

RUPD gives you the opportunity to determine the best course of action and choose the most suitable resolution option for problematic loans. Participation ensures that the loan handling decision is final, definitive, and binding for all affected Lenders.

3. What do I need to do to participate in RUPD?

You need to:
1. Read the Loan Prospectus to understand the loan’s condition and risks.
2. Choose Your Desired Solution (e.g., Continue Collection, Restructuring, or Repayment Discount).
3. Submit your vote through the official KoinP2P platform at app.koinp2p.com.

4. What are the available RUPD decision options?

RUPD decision options may vary for each loan, but examples include but not limited to:
– Continue Collection: No changes to the existing scheme.
– Restructuring: Extension of tenor or adjustment of interest to enable the borrower to pay.
– Repayment Discount: Securing faster payment certainty for a portion of the principal.

5. What happens if I do not cast a vote?

A Lender who does not vote until the RUPD period ends is considered to have forfeited their right to vote and must abide by the majority decision of the participating Lenders. All decisions are final, definitive, and binding for all Lenders, regardless of their participation.

6. Where is RUPD conducted?

RUPD is conducted electronically through the official KoinP2P platform at app.koinp2p.com.

7. What are the step-by-step instructions to participate in RUPD?

Log in to your KoinWorks account via app.koinp2p.com.
Use your registered phone number or email, then enter the One-Time Password (OTP) sent to your email or mobile number.
The RUPD menu is available on the left sidebar.
Click on the menu. If any of your fundings fall under RUPD, they will appear on this page.
Click Details on each loan code to view the prospectus and submit your decision.

8. How is my voting power calculated?

Each Lender’s vote weight is calculated proportionally based on the percentage of funds the Lender provided relative to the total loan funds for the RUPD subject loan. Each Lender is entitled to cast one vote for each option proposed.

9. Whose decision will be implemented?

The final RUPD decision is determined by the majority of valid votes from the total value of funding that casts a vote. The majority decision will apply to all Lenders for that loan and is final, definitive, and binding.

10. What happens if I do not cast a vote?

A Lender who does not vote until the RUPD period ends is considered to have forfeited their right to vote and must abide by the majority decision of the participating Lenders.

11. What is KoinP2P’s role after the RUPD decision is set?

KoinP2P, as the P2P Lending Platform and not a guarantor, must take all reasonable steps in accordance with the prudence principle to realize the RUPD decision.

12. Does RUPD eliminate investment risk?

No. The RUPD outcome does not eliminate or reduce the inherent risks of P2P Lending. All risks arising, including potential financial losses from the RUPD decision, remain solely the responsibility of the Fund Provider.

13. Is the Loan Prospectus document confidential?

Yes, all information contained in the Loan Prospectus is Confidential and is intended only for the eligible Lenders/Fund Providers. It is prohibited to duplicate, disseminate, disclose, or use this document outside the RUPD context without written approval from KoinP2P.
